1. Introduction & Acceptance

Welcome to awRAG.io ("awRAG," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of awRAG.io, a portable, privacy-first knowledge library that lets you upload documents once and access them from any website you work on via the browser extension, or programmatically via REST API and OAuth, including our website, browser extension, applications, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

2. Service Description

awRAG provides a portable, privacy-first knowledge library that enables users to:

Upload and process documents for intelligent querying from any AI assistant or any website
Generate vector embeddings from uploaded content
Connect and query documents using any AI model via MCP (Model Context Protocol), REST API, and OAuth 2.0
Perform semantic search and retrieval across document collections
Access AI-powered document analysis and question-answering capabilities via a browser extension that works on every website (Gmail, Slack, Google Docs, LinkedIn, and thousands more)

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

3. Account Registration & Eligibility

Eligibility: You must be at least 16 years old to use the Platform. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Account Creation: To access certain features of the Platform, you must create an account by providing accurate, current, and complete information, including a valid email address.

Account Security: You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach
Ensuring your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscriptions & Payments

Subscription Plans: awRAG offers various subscription tiers with different features, usage limits, and pricing. Current plans and pricing are available on our website.

Payment Processing: All payments are processed securely through our third-party payment provider. We do not store your full payment card details. By providing payment information, you authorize us to charge the applicable subscription fees to your payment method.

Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You will be charged the then-current subscription fee for the renewal period.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at contact@awrag.io. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price Changes: We may change subscription prices at any time. If we increase your subscription price, we will notify you at least 30 days before the change takes effect. Continued use of the Platform after a price change constitutes acceptance of the new price.

Free Trials: We may offer free trial periods for certain subscription plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

5. No Refund Policy

All subscription payments are final and non-refundable. We do not offer refunds for any subscription fees, partial billing periods, or unused portions of your subscription.

Exceptions: Refunds may only be issued in the following exceptional circumstances at our sole discretion:

Billing Errors: If you were charged incorrectly due to a technical billing error on our part, we will refund the incorrect charge
Duplicate Charges: If you were accidentally charged multiple times for the same subscription period, we will refund the duplicate charges

Important: You are responsible for canceling your subscription before the next renewal date to avoid being charged. Once a subscription renewal charge has been processed, it is non-refundable.

If you believe you have been charged in error, please contact us at contact@awrag.io immediately with your account details and explanation. We will review your request and respond within 3-5 business days.

6. User Responsibilities & Acceptable Use

You agree to use the Platform in compliance with all applicable laws and regulations. You are solely responsible for the content you upload, process, and query through the Platform.

Prohibited Activities: You may not:

Upload or process content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
Upload content that infringes on intellectual property rights, privacy rights, or other rights of third parties
Use the Platform to distribute malware, viruses, or other malicious code
Attempt to gain unauthorized access to the Platform, other user accounts, or our systems
Reverse engineer, decompile, or attempt to extract source code from the Platform
Use automated tools (bots, scrapers) to access the Platform without our prior written consent
Resell, lease, or sublicense access to the Platform without authorization
Use the Platform to generate spam, phishing content, or fraudulent materials
Abuse or circumvent usage limits, rate limits, or subscription restrictions
Interfere with or disrupt the Platform's operation or other users' access

Violation of these acceptable use policies may result in immediate account suspension or termination without refund.

7. Intellectual Property Rights

Platform Ownership: The Platform, including all software, code, designs, graphics, logos, and content provided by awRAG, is owned by awRAG and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights to the Platform.

User Content: You retain all ownership rights to the content you upload to the Platform. By uploading content, you grant awRAG a limited, non-exclusive, worldwide license to:

Process, store, and transmit your content as necessary to provide the Platform services
Generate embeddings, perform vector searches, and enable AI querying of your content
Create backups and ensure data resilience

This license terminates when you delete your content or close your account, except for content retained in backups for a limited period as described in our Privacy Policy.

Feedback: If you provide feedback, suggestions, or ideas about the Platform, you grant awRAG an unrestricted, perpetual, royalty-free right to use such feedback without any obligation to you.

8. Third-Party Services & AI Models

The Platform allows you to connect third-party AI models (e.g., OpenAI GPT, Google Gemini, Anthropic Claude) via the MCP (Model Context Protocol). When you use third-party AI services:

You are responsible for complying with the third party's terms of service and privacy policy
You acknowledge that data sent to third-party AI providers is subject to their data handling practices
awRAG is not responsible for the performance, accuracy, or availability of third-party AI services
You are responsible for any costs associated with third-party AI API usage

We use third-party AI services for vector embedding generation and reranking services. By using the Platform, you acknowledge that your document content may be processed by our third-party AI partners in accordance with their privacy policies and our Data Processing Agreements.

9. Data Security & GDPR Compliance

We take data security seriously and implement industry-standard security measures to protect your data. All your data is stored exclusively in the European Union:

Database Storage: EU data centers (Switzerland 🇨🇭)
Application Hosting: EU data centers (Finland 🇫🇮)
Encryption: SSL/TLS in transit, encryption at rest

10. Disclaimers & Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding the accuracy, reliability, or completeness of AI-generated results
Warranties that the Platform will be uninterrupted, error-free, or secure
Warranties regarding the accuracy of embeddings, search results, or AI model outputs

You acknowledge that:

AI-generated results may contain errors, inaccuracies, or biases
You are responsible for verifying the accuracy of AI outputs before relying on them
We do not guarantee specific uptime, performance, or availability levels
The Platform may be subject to maintenance, updates, or temporary disruptions

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AWRAG AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.

This includes, but is not limited to, damages for:

Loss of profits, revenue, data, or business opportunities
Service interruptions or data loss
Errors or inaccuracies in AI-generated results
Unauthorized access to or disclosure of your data
Third-party actions or services (including AI model providers)

Our total liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless awRAG, its operators, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or relating to:

Your use of the Platform or violation of these Terms
Content you upload or process through the Platform
Infringement of third-party intellectual property or privacy rights
Your violation of applicable laws or regulations
Your use of third-party AI services connected via MCP

13. Account Termination & Suspension

Termination by You: You may terminate your account at any time by contacting us at contact@awrag.io or through your account settings. Upon termination, your subscription will end at the current billing period, and your data will be deleted in accordance with our Privacy Policy.

Termination by Us: We reserve the right to suspend or terminate your account immediately, without notice or refund, if:

You violate these Terms or our acceptable use policies
You engage in fraudulent, abusive, or illegal activities
Your account poses a security risk to the Platform or other users
You fail to pay subscription fees or other charges
We are required to do so by law or legal process

Upon termination, your right to use the Platform immediately ceases. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.

14. Changes to Terms of Service

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or platform features. When we make material changes, we will:

Update the "Last Updated" date at the top of these Terms
Notify you via email or through a prominent notice on the Platform
Give you the opportunity to review the changes before they take effect

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform and may terminate your account.

15. Dispute Resolution

If you have a dispute with awRAG, we encourage you to first contact us at contact@awrag.io to attempt to resolve the issue informally.

If informal resolution is not successful, any disputes arising out of or relating to these Terms or the Platform will be resolved through binding arbitration in accordance with the rules of a recognized arbitration institution, unless prohibited by applicable law.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and awRAG regarding the Platform.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, internet failures, or government actions.
